California Non-Disclosure Agreement

This Non-Disclosure Agreement (the “Agreement”) is made and entered into as of by and between with an address at (“Disclosing Party”) and with an address at (“Receiving Party”). The Disclosing Party and Receiving Party may collectively be referred to as the “Parties.”

This Agreement is governed by the laws of the State of California.

1. Definition of Confidential Information

For purposes of this Agreement, “Confidential Information” includes, but is not limited to:

  • Any data or information that is proprietary to the Disclosing Party;
  • Business strategies, financial information, or technical processes;
  • Any information disclosed verbally or in writing that is marked as confidential.

2. Obligations of Receiving Party

The Receiving Party agrees to:

  1. Maintain the confidentiality of the Confidential Information;
  2. Only use the Confidential Information for the purpose of evaluating or conducting discussions concerning a potential business relationship with the Disclosing Party;
  3. Restrict access to the Confidential Information to employees, agents, or third parties who need to know for the stated purpose and have signed a non-disclosure agreement;
  4. Return or destroy all Confidential Information upon request from the Disclosing Party.

3. Exceptions

Confidential Information does not include information that:

  • Is or becomes publicly available through no fault of the Receiving Party;
  • Is rightfully received from a third party without a duty of confidentiality;
  • Is independently developed by the Receiving Party without the use of the Confidential Information.

4. Term

This Agreement will commence on the date first written above and will continue for a period of years unless terminated earlier by either Party with a written notice of days.

5. Governing Law

This Agreement shall be governed and construed in accordance with the laws of the State of California.

6. Entire Agreement

This Agreement constitutes the entire agreement between the Parties. It supersedes all prior agreements or understandings related to the Confidential Information.
